1. Overview of Services

Digital Sonic provides three primary categories of offerings:

• Digital Products: Downloadable assets, templates, guides, or software tools.
• Web Hosting: Server space and hosting infrastructure management for websites.
• Logo Design: Custom graphic design and branding services.

2. Digital Products

2.1 License Grant

Upon purchasing a digital product from Digital Sonic, you are granted a non-exclusive, non-transferable, limited license to download and use the product for personal or internal business purposes (as specified at purchase).

2.2 Usage Restrictions

Unless explicitly stated otherwise, you may not:

• Resell, redistribute, share, or sub-license the digital files to third parties.
• Claim ownership or authorship of the original digital assets.

2.3 Refund Policy

Due to the non-returnable nature of downloadable digital assets, all sales of digital products are final and non-refundable once the files have been downloaded or accessed, unless required by local law or explicitly agreed upon in writing.

3. Web Hosting Services

3.1 Acceptable Use Policy (AUP)

You agree to use our hosting services for lawful purposes only. Hosting accounts may not be used for:

• Hosting or spreading malware, viruses, or malicious code.
• Sending unauthorized spam or mass email communications.
• Storing or transmitting illegal, fraudulent, or infringing material.

3.2 Backups and Data Integrity

While Digital Sonic takes precautions to maintain server reliability, you are solely responsible for maintaining backup copies of your website data and content. We are not liable for any data loss, corruption, or hardware failures.

3.3 Service Uptime & Maintenance

We strive to maintain high service availability, but we do not guarantee uninterrupted service. Scheduled maintenance or emergency downtime may occur. Digital Sonic will not be liable for business downtime, lost revenue, or damages resulting from service interruptions.

4. Logo Design Services

4.1 Scope of Work & Deliverables

All design projects will follow the scope, timeline, and revision limits specified in the agreed-upon proposal or project brief. Any work beyond the initial agreement may incur additional fees.

4.2 Intellectual Property & Ownership

• Drafts & Unused Concepts: All preliminary drafts, sketches, and unused concepts remain the exclusive property of Digital Sonic.
• Final Deliverables: Upon full payment of all fees, copyright and ownership rights to the final, approved logo design will transfer to you.
• Portfolio Rights: Digital Sonic retains the right to display the completed logo and project details in our portfolio and marketing materials, unless a Non-Disclosure Agreement (NDA) states otherwise.

5. Payments, Billing, and Fees

• Pricing: All prices are subject to change. Prices agreed upon in an active contract or subscription will remain valid for the duration of that specific term.
• Payment Terms: Payments for digital products and design deposits are due upfront. Web hosting is billed on a recurring basis (monthly or annually).
• Late Payments & Suspension: Failure to pay web hosting or design invoices on time may result in service suspension, website downtime, or project delay.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Digital Sonic (and its owners, employees, or partners) shall not be liable for any indirect, incidental, consequential, or punitive damages—including loss of profits, data, or goodwill—arising from:

• The use or inability to use our digital products or hosting services.
• Unintended service interruptions or technical failures.
• Third-party breaches or unauthorized access to server data.

7. Indemnification

You agree to defend, indemnify, and hold harmless Digital Sonic from and against any claims, liabilities, losses, damages, or legal fees resulting from your breach of these Terms, your use of our services, or any content you host through our servers.

8. Termination

We reserve the right to suspend or terminate your access to our hosting services or digital assets at any time, without prior notice, if you breach any provision of these Terms or engage in fraudulent/unlawful activities.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, and the courts at Mumbai, Maharashtra, without regard to conflict of law principles.
